Few things to check:-
1. The file has been converted to a docx and is not an old format doc file.
2. There are no complicated macros in the excel file as this will restrict Co-authoring.

Andrew Hodges Thanks for the response do we have to upload it as docx as i usually upload as xlsx ?
Sorry - yes xlsx. If the file is already an xslx then there maybe some functionally that is not compatible with co-authoring. Try opening the SharePoint Site and seeing if there is any different, I suspect not.
