how to join two IF statement together and flag out the False?

please see the file ..i typed my question in the file. I really need to work this.

My question is IF B2 = Dist Owned, C2 = Blank, This is True, Or B2= Company owned, C2= Yes, this is also True. How to put it in one formula and flag the false?

End User ID	Ownership from sales data	My Record (Yes = Company Owned)	Discrepancy
ABC	Dist Owned		TRUE
YYYY	Company Owned	Yes	TRUE
ZZZZ	Dist Owned	Yes	FALSE

Sergei, thanks for the quick reply. I tried your formula in the Excel file. It didn't work...can you please attached in excel file? The excel prompt 'problem with formula...
