excel copy rows from file to another and replace

i have tow excel file first one have 50000 rows and second file have 250000 rows
and they have same columns bar-code and quantity

so i want copy rows from second file (250000 rows) to first file (50000 rows)
without duplicate rows (if was there) and quantity will be take it from second file (250000 rows).
